ARTICLE 01

Purpose and scope

These Terms govern all sales by SAS ALTHEA to customers acting solely for business purposes. They prevail over the Customer’s purchasing terms unless otherwise agreed in writing.
ARTICLE 02

Business account

The Seller may request business registration or VAT evidence. The Customer guarantees accurate information and protects its credentials.
ARTICLE 03

Products

Characteristics, composition, packaging, quantity, precautions and storage conditions appear on product pages and labels. Images are illustrative. The Customer is responsible for selection, storage, resale and compliance in its territory.
ARTICLE 04

Orders

An order is formed after basket validation, acceptance of these Terms and payment. The Seller may refuse or cancel in case of debt, fraud, obvious pricing error, unavailability, abnormal quantity or breach.
ARTICLE 05

Prices

Prices are in euros excluding VAT. VAT, shipping, customs duties, import taxes and related charges apply as appropriate.
ARTICLE 06

Payment

Payment is due in full when the order is placed, by card or bank transfer. Bank-transfer orders are prepared after cleared funds are received.
ARTICLE 07

Late payment

Overdue amounts bear interest without reminder at the ECB half-yearly refinancing rate plus ten percentage points, not lower than three times the French statutory rate. A fixed recovery charge of €40 per unpaid invoice applies, plus documented additional costs where applicable.
ARTICLE 08

Retention of title

Title remains with the Seller until full payment. Risk passes when goods are handed to the carrier, unless mandatory law or a written agreement provides otherwise.
ARTICLE 09

Availability

Offers are subject to stock. The Seller may offer a revised lead time, agreed substitute, credit note or refund for an unavailable item.
ARTICLE 10

Processing and delivery

Orders are normally prepared within 24 business hours after payment, subject to stock. Delivery is offered to mainland France, French overseas territories and Europe through Colissimo, Chronopost or another proposed carrier. Free shipping starts at €250 excluding VAT, subject to displayed area, weight and volume exclusions.
ARTICLE 11

Inspection

The Customer must inspect immediately, record precise carrier reservations and notify the Seller within three business days with photographs and evidence.
ARTICLE 12

Returns and claims

No return is accepted without prior written authorisation. Goods must be unopened, unused, properly stored, in original packaging and fully traceable. Unsealed, personalised or damaged products are not returnable unless the Seller is responsible.
ARTICLE 13

No general withdrawal right

Consumer withdrawal rights do not apply to purchases made for business purposes, subject to any exceptional mandatory rule.
ARTICLE 14

Storage, traceability and recalls

The Customer follows storage conditions, rotates stock and retains lot traceability. For a withdrawal or recall, it stops sales, isolates lots and follows instructions.
ARTICLE 15

Resale and marketing

Only authorised visuals, text and claims may be used. Food supplements must not be presented as preventing, treating or curing disease.
ARTICLE 16

Intellectual property

Purchase transfers no rights in trademarks, logos, photographs, texts, formulations or creative materials.
ARTICLE 17

Liability

Subject to mandatory law, the Seller is liable only for proven direct loss. Except for gross negligence, fraud, personal injury or prohibited cases, liability is capped at the net amount paid for the directly affected products.
ARTICLE 18

Force majeure

Neither party is liable for events beyond reasonable control. After sixty days, the unperformed portion may be terminated.
ARTICLE 19

Data and confidentiality

Data is processed under the Privacy Policy. Negotiated prices, technical documents and non-public information are confidential.
ARTICLE 20

Law and jurisdiction

French law applies. After amicable discussions, business disputes fall within the exclusive jurisdiction of the Commercial Court of Périgueux, subject to mandatory rules.
